These Terms of Use (“Terms”) govern your access to and use of all websites, products, training materials, consulting services, AI tools, content, and platforms operated by Velza LLC, doing business as Rapid Reskill (“Rapid Reskill,” “we,” “us,” “our”). This includes, but is not limited to, rapidreskill.com, go.rapidreskill.com, and all learning environments, digital products, live trainings, assessments, and AI-powered services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, discontinue use immediately.

Velza LLC may modify these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

1. WHO WE ARE

Velza LLC is a Tennessee-based company providing training, digital learning experiences, AI tools, assessments, coaching, consulting, Salesforce/Agentforce implementation, media production, and professional development solutions. Rapid Reskill is a DBA (doing business as) and subsidiary brand under Velza LLC.

2. ELIGIBILITY & ACCOUNT RESPONSIBILITIES

You must be 18 years or older to use the Services.

If given an account or password, you are responsible for maintaining confidentiality and for all activity under your account. You agree not to share login credentials unless explicitly permitted (e.g., group or institutional licenses).

Unauthorized distribution of materials, login sharing, or bypassing access controls may result in account termination without refund.

3. INTELLECTUAL PROPERTY & USAGE RIGHTS

All content, including videos, lessons, quizzes, assessments, scripts, AI prompts, frameworks, software, documents, downloads, and live or recorded training material, is the exclusive property of Velza LLC or its licensors.

You agree not to:

• Copy, reproduce, or redistribute any content

• Share login access

• Publish, broadcast, or stream any paid content

• Train AI models on our content

• Use our materials to create competing courses or services

• Resell or sublicense content

• Reverse engineer or attempt to extract proprietary materials

Educational licenses are granted for individual personal use only, unless an institutional agreement states otherwise.

Violation of this section may result in legal action, account termination, and damages.

4. ORDER, ACCESS, AND REFUND POLICIES

4.1 Digital Products & Subscriptions

• Subscription trials (if offered) may be cancelled before the renewal date to avoid charges.

• Monthly and annual subscriptions renew automatically until cancelled.

• Cancellations take effect at the end of the billing cycle; no partial refunds are provided.

4.2 On-Demand Course Access

• Single-purchase courses include 365 days of access, unless otherwise stated.

• Access durations may vary based on product type, content lifecycle, or platform changes.

4.3 Refunds

• Single on-demand courses: refundable within 72 hours of purchase.

• Live cohorts or trainings: refundable until 24 hours after the first live session begins.

• Subscriptions: refunds are not provided after the trial period ends.

• Certification voucher–related purchases: no refunds after a voucher has been issued, distributed, assigned, or redeemed.

• Chargebacks filed after voucher distribution are considered fraud.

Velza LLC may deny a refund request if misuse, excessive consumption, scraping, or prohibited conduct is detected.

5. AI TOOLS, SIMULATIONS & ROLE-PLAY AGENTS

Our Services may include:

• AI-powered learning tools

• Role-play simulations

• Practice scenarios

• Automated grading or feedback

• Generative AI content

• Context-aware intelligent assistants

You agree that:

• AI outputs may be imperfect or require professional interpretation

• AI content must not be relied upon as legal, financial, tax, medical, psychological, or professional advice

• You will not use our tools to commit fraud, impersonation, exam cheating, or regulatory violations

• You may not attempt to reverse engineer or extract system prompts, data, or protected logic

We reserve the right to revoke access or take action if AI tools are misused.

6. THIRD-PARTY LINKS & INTEGRATIONS

Our Services may include integrations with:

• Payment processors

• LMS platforms

• AI platforms

• Enterprise systems

• Affiliate links

• Third-party content

We are not responsible for third-party content, policies, or practices. Use third-party services at your own risk.

Affiliate links may result in compensation to us at no additional cost to you.

7. USER SUBMISSIONS & CONDUCT

By submitting content (e.g., comments, messages, assignments, feedback), you grant Velza LLC a royalty-free, worldwide, perpetual license to use, modify, display, or distribute such content for business or educational purposes.

You agree not to submit content that is:

• Unlawful

• Harmful, threatening, or harassing

• Obscene or defamatory

• Infringing on third-party rights

• Malware, spam, or automated scraping

• Used to mislead, impersonate, or defraud

Velza LLC may remove content, suspend accounts, or report unlawful activity.

8. DISCLAIMER OF WARRANTIES

All Services are provided “as is” and “as available.”

Velza LLC makes no warranties, express or implied, including:

• Accuracy, completeness, or reliability

• Fitness for a particular purpose

• Uninterrupted availability

• Security of third-party platforms

• Outcome guarantees (employment, certifications, income, business success)

• Accuracy or performance of AI-generated content

You use the Services at your own risk.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Velza LLC shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages.

• Total liability is limited to the amount you paid for the relevant product or service.

• We are not responsible for third-party actions (fraud, platform outages, vendor downtime, etc.).

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum permitted by law.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Velza LLC, its affiliates, directors, officers, contractors, partners, and employees from any claims or liabilities arising from:

• Your use of the Services

• Your violation of these Terms

• Your misuse of AI tools

• Your violation of intellectual property rights

• Your participation in live or recorded trainings

• Any fraud or unlawful conduct

11. TERMINATION OF ACCESS

We may suspend or terminate your account at any time for:

• Violations of these Terms

• Suspected fraud or voucher abuse

• Unauthorized dissemination of content

• Threats, harassment, or unsafe behavior

• Misuse of AI tools or system resources

• Regulatory or legal requirements

Refunds are not guaranteed upon termination.

12. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Tennessee.

Any disputes shall be resolved through binding arbitration in Nashville, Tennessee, pursuant to the rules of the American Arbitration Association (AAA). No class actions or class arbitrations are permitted.

13. SEVERABILITY

If any part of these Terms is deemed invalid, the remaining provisions remain in full force.
